Published Fee Schedule

This Published Fee Schedule (this “Schedule”) sets out the fees payable by Customer for Use of the Platform Services and is incorporated by reference into, and forms part of, the Platform Services Terms between LogiQAI Solutions Inc. d/b/a Logical Intelligence (“Company”) and Customer (the “Agreement”). Capitalized terms used but not defined in this Schedule have the meanings given to them in the Agreement. In the event of any conflict between this Schedule and Section 3 of the Agreement, Section 3 of the Agreement controls unless an Order Form, checkout page, Subscription terms, or other written pricing terms accepted by Customer expressly provide otherwise, in which case such specific pricing terms control solely with respect to the applicable transaction or Subscription.
Company may maintain archival copies of prior versions of this Schedule. Unless otherwise stated, the version of this Schedule in effect at the time of the applicable billable Use governs that Use.
1. Fee Calculation
The fee due for each Use (each, a “Per-Use Fee”) consists of two components, charged on a strictly pass-through, mark-up basis by reference to third-party provider rates, Company’s usage records, and Company’s applicable service fee:
(a) Third-Party Inference Cost. For each Use, Company may use services provided by OpenAI, its affiliates, successors, or replacement providers, including without limitation OpenAI, L.L.C. or OpenAI OpCo, LLC, as applicable (“OpenAI”), or other third-party model, inference, embedding, transcription, speech, vision, retrieval, storage, or orchestration providers for the underlying AI model inference and related services invoked in connection with that Use. Such charges are calculated by Company based on the model, tools, modalities, service tier, provider, and related services invoked; the applicable third-party provider’s then-current published or contracted rates; and Company’s usage telemetry and billing records, including, as applicable, input tokens, cached input tokens, output tokens, tool calls, retrieval calls, embedding operations, transcription, speech, image, vision, storage, retries, background processing, safety or classification calls, and other billable usage units (the “Provider Rates”), which may be published by the applicable provider or otherwise made available to Company under its account or contract with such provider. The amount calculated by Company for a Use in accordance with this Section 1(a) is the “Third-Party Inference Cost” for that Use.
For clarity, Third-Party Inference Cost may be calculated using Company’s metering systems, third-party provider usage data, or a combination of both. Company’s usage records will control absent manifest error. Customer is responsible for all charges resulting from use of Customer’s account, credentials, API keys, users, integrations, or authorized systems.
(b) Service Fee. In addition to the Third-Party Inference Cost, Company charges a service fee equal to forty percent (40%) of the Third-Party Inference Cost (the “Service Fee”) in consideration of the operation, hosting, orchestration, support, and continued development of the Platform Services.
(c) Provider and Model Selection. Company may select, route, substitute, or change the models, providers, regions, tools, modalities, or service tiers used to provide the Platform Services from time to time, including for reasons of availability, latency, performance, security, reliability, cost, safety, compliance, or product improvement, provided that Company does not materially reduce the core functionality of the Platform Services.
(d) Per-Use Fee Formula. The Per-Use Fee for each Use is therefore calculated as follows:
Per-Use Fee = Third-Party Inference Cost × 1.40
For the avoidance of doubt: (i) all Provider Rates are determined by the applicable third-party provider or by Company’s applicable contract with that provider and may change from time to time, and Customer’s Per-Use Fees will reflect such modifications automatically with effect from the date such modifications take effect for Company or under the provider’s applicable pricing; and (ii) the Service Fee multiplier (1.40) is the rate set by Company and is subject to change in accordance with Section 4 of this Schedule and Section 3(b) of the Agreement.
Company may round charges to the nearest cent or other billing increment used by Company’s billing system. Minimum charges, prepaid credit usage, invoice minimums, payment processing limits, or other billing mechanics may apply as disclosed at sign-up, in the Platform Services, in an Order Form, or in the Agreement.
2. Worked Example
The following example is provided solely for illustrative purposes and does not reflect any specific Provider Rate then in effect.
Assume that, for a single Use, the applicable OpenAI model processes 1,000,000 input tokens and 200,000 output tokens, and that the applicable Provider Rates for that model are US $2.50 per million input tokens and US $10.00 per million output tokens. The Third-Party Inference Cost for that Use is (1.0 × $2.50) + (0.2 × $10.00) = $4.50. The Per-Use Fee for that Use is $4.50 × 1.40 = $6.30.
This example excludes taxes, payment processing charges, ancillary third-party services, cached-input pricing, batch pricing, minimum charges, retries, tool calls, retrieval, storage, transcription, speech, image, vision, embedding, safety or classification calls, and other usage-based charges that may apply depending on the Platform Services used.
3. Additional Pass-Through Charges
Where Company uses ancillary third-party services in connection with providing the Platform Services (including, without limitation, payment processing, object storage, retrieval, transcription, embedding, speech, vision, image, analytics, security, data processing, or other services obtained from OpenAI or other providers), the actual amount charged to Company by the applicable third-party provider for that Use will be passed through to Customer at cost, without additional mark-up beyond the Service Fee specified in Section 1(b) unless otherwise disclosed at sign-up, in an Order Form, or in the Platform Services. Such pass-through charges will be itemised on Customer’s invoice or usage record where reasonably practicable.
Unless expressly stated otherwise, ancillary pass-through charges are not included in the Third-Party Inference Cost and are not subject to the 1.40 Service Fee multiplier. Company may, however, charge separate fees for ancillary services where disclosed at sign-up, in an Order Form, or in the Platform Services.
4. Modifications to this Schedule
Company may update this Schedule from time to time in accordance with Section 3(b) of the Agreement. A “material change” (as defined in Section 3(b) of the Agreement) to this Schedule will take effect no earlier than thirty (30) days after Company posts the updated Schedule at this URL and notifies Customer by email, and Customer’s rights and remedies in respect of such material change are as set forth in Section 3(b) of the Agreement. Non-material changes (including any reduction of the Service Fee multiplier or any reduction in pass-through charges) take effect upon posting. Adjustments to Per-Use Fees that result solely from changes in Provider Rates, third-party charges, taxes, payment processing costs, usage mix, model routing, Customer-selected models or service tiers, or Customer usage volume are not modifications to this Schedule and do not constitute a material change for purposes of Section 3(b) of the Agreement; Company will, however, use commercially reasonable efforts to make any such Customer-facing rate change visible through the Platform Services prior to or at the time of the next billable Use.
5. Currency; Billing; Taxes
All amounts set out in or calculated under this Schedule are stated in United States Dollars (USD) and are exclusive of any taxes, duties, levies, or similar charges, which are payable by Customer in accordance with Section 3(c) of the Agreement. Per-Use Fees are charged to Customer’s selected payment method following each Use, periodically in arrears, by deduction from prepaid credits, or by invoice, as described at sign-up, in the Platform Services, in an Order Form, or in the Agreement. Where Customer has accepted a Subscription under Section 3(e) of the Agreement, the fees, allotments, and overage terms of that Subscription will apply in lieu of, or in addition to, the Per-Use Fees calculated under this Schedule, as set out at the point of sign-up.
Customer is responsible for reviewing usage records, invoices, and charges and must notify Company of any billing dispute within the dispute period specified in the Agreement or, if no such period is specified, within thirty (30) days after the charge or invoice date. Except as expressly provided in the Agreement or required by law, fees are non-refundable.
